SUBSCRIBER SERVICE AGREEMENT

THE FOLLOWING DESCRIBES THE TERMS ON WHICH DYNAMIC PROCESS TECHNOLOGIES ("DPT" or "we") OFFERS YOU ACCESS TO OUR SERVICES (DEFINED BELOW). IN ORDER TO PARTICIPATE IN OUR SITE AND UTILIZE OUR SERVICES, YOU MUST AGREE TO THE TERMS AND CONDITIONS SET FORTH BELOW. BY ACCESSING OR USING THE SERVICE THEREAFTER, YOU ACCEPT THIS AGREEMENT AND AGREE TO BE BOUND BY EACH OF ITS TERMS.

PhotoHelperApp.com (the "Provider") is providing a service to individuals (the "User") who are adults in their country of residence. You represent that you are an adult and agree to these Terms of Service on behalf of yourself and, at your discretion, of one minor child for whom you are a parent or guardian and whom you have authorized to use the account you create on the Service.

To use our service, you must agree to all the following:

1. SERVICES PROVIDED AND LIMITED LICENSE

Under this agreement, the Provider will provide access to utilize the Provider's web site and access to documents such as FAQ's and documentation; which herein known as the "Services" in this agreement. All documentation is provided on an "as is" basis, with no expressed or implied complete validity.

Subject to your agreement to and continuing compliance with the Terms of Use agreement, you may use the Service solely for your own non-commercial entertainment purposes. You may not use the Service for any other purpose, or in connection with any other software.

2. PAYMENT TERMS

Access to this website is free and the user understands that DPT may elect to place advertisements on any page.

You understand that as a result of your usage of the service, text messages, emails and other digital content may be sent to your cell phone and/or email address and you accept full responsibility for any and all charges incurred.

3. ACCOUNT, USERNAME AND PASSWORD

If at any point during the use of the system you are required to establish an account and create a username and password, you agree that you will supply accurate information when requested, and that you will update it promptly when it changes. You may not share the account information or your username and password with anyone other than as expressly set forth herein.

4. CODE OF CONDUCT

To be able to use the service, you agree to adhere to the following Code of Conduct. This is a set of rules that guides the usage of the service and is not meant to be exhaustive. DPT reserves the right to determine which conduct it considers to be outside the proper spirit of usage of the service and to take any measures including termination and deletion of the account.

You may not:

a) Submit, transmit or post any content or language which, in the sole and absolute discretion of DPT is deemed to be offensive, including without limitation content or language that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, sexually explicit, or racially, ethnically or otherwise objectionable, nor may you use a misspelling or an alternative spelling to circumvent the content and language restrictions listed above.

b) Submit any content that promotes the use of illegal drugs, alcohol, sex, pornography, nudity, or any other form of adult content, profanity, hate, "spam," fraud, racism, mlm, pyramid schemes, or promote any illegal activity.

c) Carry out any action that causes a disruptive effect, such as sending unsolicited, unwelcome messages to a single user or sending an excessive number of messages overall. You specifically agree not to use the service to post commercial solicitations and/or advertisements for goods or services.

d) Harrass, threaten, stalk, embarrass or cause distress, unwanted attention or discomfort to any other user of the service.

e) Impersonate any real person, or send messages on behalf of any game character you do not currently own.

f) The content you submit must comply with any and all applicable laws of the State of Texas and the US Federal Government.

5. SUSPENSION AND/OR TERMINATION OF SERVICE

This service may be terminated at any time by the Provider or User. The Provider may at its sole discretion remove any content for any reason or no reason, with or without notice to you.

6. WARRANTY DISCLAIMER

THIS SERVICE IS PROVIDED ON AN "AS IS, AS AVAILABLE" BASIS. THE PROVIDER GIVES NO WARRANTY, EXPRESSED OR IMPLIED, FOR THE SERVICES PROVIDED, INCLUDING, WITHOUT LIMITATION, WARRANTY OF MERCHANTABILITY AND WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. THIS NO WARRANTY EXPRESSLY INCLUDES ANY REIMBURSEMENT FOR LOSSES OF INCOME DUE TO DISRUPTION OF SERVICE BY THE PROVIDER OR ITS PROVIDERS BEYOND THE FEES PAID BY CLIENT TO PROVIDER FOR SERVICES. WE ARE NOT RESPONSIBLE FOR ANY LOSS OF DATA.

7. ACKNOWLEDGEMENTS

You acknowledge that DPT may, with our without notice to you, disclose your Internet Protocol (IP) address(es), personal information, message logs, and other information about you and your activities: (a) in response to a request by law enforcement, a court order or other legal process; or (b) if DPT believes that doing so may protect your safety or the safety of others.

DPT MAY MONITOR, RECORD, REVIEW, MODIFY AND/OR DISCLOSE YOUR MESSAGES, WITHOUT NOTICE TO YOU, AND YOU HEREBY CONSENT TO SUCH MONITORING, RECORDING, REVIEW, MODIFICATION AND/OR DISCLOSURE. Additionally, you acknowledge that DPT is under no obligation to monitor any messages, and you engage in messages at your own risk.

You are wholly responsible for the cost of all telephone and Internet access charges along with all necessary equipment, servicing, repair or correction incurred in maintaining connectivity to the service.

8. DISPUTES

In the event it is necessary to refer any dispute to an attorney or resolve it in a court of law, the prevailing party will be entitled to an award of reasonable attorney's fees and all costs associated with any legal action, whether or not a suit shall actually be filed. These terms of service shall be governed by and construed in accordance with the laws of the state of Texas and the United States of America.

8. MODIFICATION OF THIS AGREEMENT

This agreement may be modified at any time at the sole discretion of the Provider. Upon modification of this agreement, the User has two weeks (14 days) to terminate their account with the Provider or it will constitute acceptance of the modifications.

By continuing to access the website, the User hereby agrees to the terms set forth in this agreement under penalties of perjury and agree to indemnify and hold harmless the Provider from any claim resulting from the use of the Provider's services and agree that all information provided by the User to the Provider is true.
